Dormant Company Accounts
If your limited company is not trading, it is considered 'dormant'. While it has fewer filing obligations, you must still file dormant accounts with Companies House each year.A company is dormant if it has had no 'significant accounting transactions' during its financial year. This means it hasn't bought or sold anything, paid salaries, or received any income.
Filing Obligations
Even if your company is dormant, it still legally exists and must meet its filing obligations with Companies House.
- You must file a Confirmation Statement at least once a year.
- You must file Dormant Company Accounts each year.
Dormant accounts are a much simpler version of full statutory accounts. They typically consist of just a balance sheet with minimal information.
Telling HMRC
You must also inform HMRC that your company is dormant so they know not to expect a Company Tax Return (CT600). If you don't, they will issue penalties for non-filing. You can tell them by phone or online.
